
PREAMBLE
ARTICLE
I – MEMBERSHIP
ARTICLE
II – OFFICERS
Sec. 1 – The officers of this club shall be:
a president, a vice president, a secretary, a treasurer, an
Activities
Manager and a governing Board of Directors.
Sec. 2 – The officers of this club, other
than the
Board of Directors, shall be elected for a term of one year by ballot
of the
members, present, at the annual meeting on the third Sunday of the
month of
August. There shall be three members of the Board of Directors. One
member of the
Board of Directors shall be elected to serve a three year term at the
annual
meeting. In the event of a mid term vacancy, the membership shall also
elect a
director to fill the remainder of the term of the vacated member.
The President shall appoint a temporary member during the
interim period
between the occurrence of the vacancy, and this election.
Sec. 3 – Vacancies occurring between
elections
shall be filled by the Board of Directors.
Sec. 4 – An officer or director may be
removed on
motion approved by a three-fourths vote of the voting membership.
ARTICLE
III – DUTIES OF OFFICERS
Sec. 1 – The president shall preside at all
meetings of this club, and conduct the same according to the rules
adopted. He
shall enforce due observance of this constitution and by-laws; decide
all
questions of order; sign all official documents that are adopted by the
club,
and perform all customary duties of the office of president.
Sec. 2 – The vice president shall assume
all the
duties of the president in the absence of the latter, and shall be
Hamfest
chairman for the annual Hamfest held during his term of office.
Sec. 3 – The secretary shall keep a record
of all
meetings, and the proceedings thereof, carry on all correspondence, and
read
communications at each meeting. He shall at the expiration of his term
turn over
everything in his possession belonging to the club to his successor.
Sec. 4 – The treasurer shall receive and
receipt
for all moneys received and expended. He shall pay no bills without
proper
authorization (by the club or its president or the Board of Directors
in the
absence of the president). At the end of each quarter he shall submit
an
itemized statement of disbursements and receipts. The treasurer shall
also keep
a roll of currently paid members, and submit applications for
membership to the
club. The treasurer shall maintain a list of the assets of the club.
He shall at the expiration of his term turn over everything in
his
possession belonging to the club to his successor.
Sec. 5 – The Activities Manager shall
organize
club member activities, and plan and recommend contests for operating
benefit,
and to advance the general club interest and activity as may be
approved by the
club. He shall maintain liaison with the ARRL to further the fullest
possible
club participation in Amateur Radio.
Sec. 6 – The Board of Directors shall take
under
advisement executive matters pertaining to the club and its betterment
and shall
make recommendation on these matters to the membership for their final
action.
ARTICLE
IV – MEETINGS
Sec. 1 – The by-laws shall provide for regular and special meetings. Regular meetings shall be the first Wednesday of every month (except August and December) at the club’s regular meeting place or at such other place and time as shall be designated by the president and Board of Directors. At meetings, a majority of those in attendance shall be deemed necessary for the transaction of business.
ARTICLE
V – DUES
Sec. 1 – The Zero Beaters Amateur Radio
Club by
majority vote of those present at any regular meeting, may levy upon
the general
membership such dues or assessments as shall be deemed necessary for
the
business of the organization within its object as set forth in the
preamble
thereof. Non-payment of such dues or
assessments shall be cause for expulsion from the club at the
discretion of the
Board of Directors.
ARTICLE
VI – MEMBERSHIP ASSISTANCE
Sec. 1 – This club shall assist its members
in
order to minimize interference in operation between stations of its
members and
the public or other amateur operators. The club shall also assist in
the
location and disposition of any cases of interference to other radio
services
where reported as caused by amateur stations operating in the area of
club
jurisdiction. The club will provide technical advice to members
concerning
equipment design and operation to assist in frequency observance, clean
signals,
uniform practice, and absence of spurious radiation from the club
members’
stations. The club shall also
maintain a program to foster and guide public relations activity
favorable to
amateur radio.
ARTICLE
VII – AMENDMENTS
Sec. 1 – This Constitution or the by-laws
may be
amended by a two-thirds vote of those voting at a specially designated
meeting
as noted below. Proposals for
amendments shall be submitted in writing at a regular meeting and may
not be
voted on until the next regular meeting. The proposed amendments shall
be
published and distributed to all members, along with the time and place
of the
club’s next regular meeting at which the vote will be taken. At the
discretion
of the Board of Directors, arrangements may be made to provide absentee
ballot
voting for members who are unable to attend the meeting.
ARTICLE
VIII – RULES
Sec. 1 – Robert’s Rules of Order (or a
similar
accepted procedure) shall govern the proceedings.
ARTICLE
IX – MEMBERSHIP
Sec. 1 – Membership in the club shall be
open to
any person interested in amateur radio and who agrees to abide by the
constitution and by-laws and such rules as shall from time to time be
promulgated by the club. Members age 65 or older shall be considered
Lifetime
members, once they been a member of the club for 10 years or more.
Lifetime
members are not required to pay dues as long as they choose to remain
members of
the club.
Sec. 2 – Termination of membership: If a
member
should become delinquent in payment of dues for more than six months,
he shall
be dropped from the rolls at the discretion of the Board of Directors.
Exceptions in the case of hardship may be made by the Board of
Directors. A
member wishing to terminate his membership may notify the Treasurer or
the
President of his intentions.
A member may also be dropped from membership on recommendation of the board of directors, with the unanimous concurrence of the current officers.
BYLAWS
Sec. 1 Secretary. It shall be the duty of
the
secretary to keep the constitution and by-laws of the Zero-Beaters
amateur Radio
Club and have same with him at every regular and special meeting. He
shall cause
all amendments, changes and additions to be noted thereon and shall
permit the
same to be consulted by members upon request.
Sec. 2 Membership. Applications for
membership shall
be submitted at a regular meeting in writing, and each application must
express
a willingness of the applicant to abide by the constitution and by-laws
and such
rules as shall from time to time be promulgated by the club.
A majority of those present shall approve the applicant before
he shall
be considered elected to membership.
Sec. 3 Meetings. Regular meeting shall be
held on
the first Wednesday of each calendar month (except August and December)
at such
place and time as the president shall order. The August meeting shall
be the
election of officers and shall be held on the third Sunday in August at
a place
and time selected by the President, and approved by the Board of
Directors.
Special meetings may be called by the president with the concurrence of
the
Board of Directors. Reasonable
attempt shall be made to notify all members informing them of the
special
meeting and the business to be transacted.
Sec. 4 Dues. A regular yearly assessment
shall be
determined by a vote of the members of the club in accordance with the
provisions of Article V of the constitution for the purpose of
providing funds
for current expenses.
